Terms & Conditions
Last updated: October 3, 2026
These terms govern your access to and use of ClefVault (the "Service"). By creating a workspace or otherwise using the Service, you agree to these terms.
1. Accounts
You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity that occurs under your account, and for enabling two-factor authentication where the Service requires or offers it.
By ticking the acceptance box at signup or when joining a workspace, you confirm that you have read and agree to these terms and our Privacy Policy; we keep a record of the date and the version you accepted.
You must be at least 18 years old and able to enter a binding contract to use the Service. The Service is for business use, not for children. If you use it for a company or a client, you confirm you have the authority to accept these terms for them.
A workspace is created together with its owner account at signup. Email verification is required before a session is issued - an unverified account cannot sign in.
2. Plans & Subscriptions
The Service is offered on a per-workspace basis under the Free, Starter, Pro and Enterprise plans described on our Pricing page. Each plan includes a fixed number of seats and resource limits (clients, projects, vault credentials, and environments); Pro and above allow adding extra seats beyond the included count instead of forcing a plan upgrade.
The Free plan is free indefinitely and does not require payment details. Starter, Pro and Enterprise are paid, billed monthly per workspace (Enterprise annual contracts are available on request).
3. Billing & Renewal
While online payment is not open, paid plans and higher limits are set up by our team after you send an upgrade request from your workspace. The billing and renewal terms below apply once online payment opens.
Paid plans renew on a recurring monthly cycle. We do not store or charge a saved card automatically - ahead of each renewal we open a new payment order and email you a secure pay-now link. Your workspace remains on its current plan as long as each renewal payment is completed.
Payments are processed by our payment partner, and are charged in US Dollars (USD). We never receive or store your full card number - see our Privacy Policy for details on payment data handling.
If a renewal payment is not completed, we will retry billing and may place the workspace into a past-due state; continued non-payment can result in the workspace being suspended until the outstanding payment is resolved. See our Refund & Cancellation Policy for what happens to your data in that case.
4. Upgrades & Downgrades
Upgrading takes effect immediately once payment for the new plan completes, through our secure checkout page. Downgrading is scheduled and takes effect at the start of your next renewal period - you keep your current plan's access, limits and seats until then, with no immediate charge or refund for the change.
5. Cancellation
You may cancel a paid subscription at any time from Settings → Billing. Cancelling stops future renewals; your workspace keeps its current plan's access until the end of the billing period you have already paid for, after which it moves to the Free plan (and any usage above Free's limits may be restricted until it is brought back within them).
6. The Service
ClefVault combines agency operations (clients, projects, invoices, expenses, renewals) with an encrypted team credential vault, as described on our Features and Vault & Extension pages. We aim for high availability but do not guarantee uninterrupted access; scheduled maintenance and third-party outages (including our payment, storage, or email providers) may affect availability from time to time.
7. Browser Extension, Sharing & Your Responsibilities
The browser extension is available on plans that include it and is governed by these terms. You may share vault credentials with workspace members, and create temporary share links or client-portal links that anyone holding the link can open until it expires or you revoke it. You are responsible for who you share with, for the credentials you store, and for rotating or revoking access when a person leaves your team.
Keep your password, recovery codes and authenticator device safe. We cannot recover the contents of a vault you can no longer access without the access controls in place for your workspace.
8. Your Content
You own the information you put into your workspace, including client details, invoices, files and the credentials you store (“Customer Data”). You give us permission to store, process and display it only so we can run the Service for you and the people you invite.
You are responsible for what you store and share. Make sure you have the right to use it, and do not store anything unlawful. We are not responsible for Customer Data, and we do not review it. You can export or delete your data at any time from your account settings.
9. Acceptable Use
- No unlawful, fraudulent, or infringing use of the Service.
- No attempting to gain unauthorized access to another workspace, account, or the systems underlying the Service.
- No uploading of malware, or credentials/data you are not authorized to store.
- No abuse of shared infrastructure - excessive automated requests, attempts to circumvent plan limits or rate limits, or actions that degrade the Service for other workspaces.
We may suspend or terminate accounts that violate this section, independent of and in addition to any billing-related suspension.
10. Emails and Notices
We send you emails that are needed to run your account, such as email verification, sign-in and security notices, invoices, payment links and renewal reminders. You cannot opt out of these while you have an account. If we ever send news or offers, you can unsubscribe from them at any time using the link in the email.
11. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate a workspace for a material violation of these terms, prolonged non-payment, or if required by law. Where reasonably possible, we will provide notice and an opportunity to export your data before termination.
12. Intellectual Property
ClefVault, its software, and its branding are owned by us and protected by applicable intellectual property laws. These terms do not give you any right to our name, logo or software other than the right to use the Service. You retain ownership of the client, project, financial, and credential data you store in your workspace (“Customer Data”); we process it only to provide the Service to you.
13. Feedback
If you send us ideas, bug reports or suggestions, we may use them to improve the Service without paying you or crediting you. You do not give up ownership of your Customer Data by doing so.
14. Links to Other Websites
The Service and our website may link to websites run by other people. We do not control them and are not responsible for their content or how they handle your information. Read their terms and privacy policies before you use them.
15. Disclaimer of Warranties
We work hard to keep the Service secure and available, but we provide it “as is” and “as available”. To the extent the law allows, we do not promise that it will be uninterrupted, free of errors, or that it will meet every need you have. You are responsible for keeping your own copy of anything you cannot afford to lose.
16. Limitation of Liability
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our aggregate liability for any claim relating to the Service is limited to the amount you paid us in the twelve months preceding the claim.
17. Changes to the Service
We may add, change, limit or remove features, including features on the Free plan, as the product grows. If a change removes something you paid for, we will tell you, and our Refund & Cancellation Policy applies. We may also stop offering the Service, in which case we will give you a reasonable chance to export your data first.
18. Governing Law
These terms are governed by the laws of India. Any dispute about them or the Service will be handled by the courts of India, after you have first tried to settle it with us by writing to the email address below.
19. General
If we do not enforce a part of these terms straight away, we have not given up the right to do so later. If a part of these terms is found to be unenforceable, the rest still applies. These terms and our Privacy Policy together are the whole agreement between you and us about the Service. You may not transfer your account or these terms to someone else without our written permission.
20. Changes to These Terms
We may update these terms from time to time. Material changes will be reflected by an updated “Last updated” date above, and we will notify you by email or in the app for significant changes. Continued use of the Service after a change constitutes acceptance of the revised terms. If you do not agree, stop using the Service and cancel your subscription.
